Welcome to HortSens.

These Terms of Use (“Terms”) govern your access to and use of the websites, applications, platforms, products, software, services, hardware, content, tools, APIs, artificial intelligence systems, augmented reality experiences, creator tools, artist platforms, subscriptions, and related services provided by HortSens, Inc. and its affiliates, subsidiaries, and related entities.

These Terms apply to HortSens and all current or future HortSens products and services, including but not limited to HortSens, ARfi, ARtists, HS Intelligence, HS Studio, HS Robotics, HS Hardware, HS Healthcare, HS Space, HS Ventures, and any other service that links to these Terms.

By accessing or using our services, you agree to these Terms. If you do not agree, do not use our services.

1. Who We Are

“HortSens,” “HS,” “we,” “our,” or “us” means HortSens, Inc. and its affiliates, subsidiaries, platforms, products, and services.

“You” or “user” means any person or entity that accesses or uses our services, including visitors, registered users, artists, creators, developers, customers, subscribers, testers, partners, and business users.

2. Eligibility

You may use our services only if you can legally enter into a binding agreement with us.

You must be at least the minimum age required by the laws of your country or region to use our services. If you are under the age of majority in your jurisdiction, you may use our services only with permission from a parent or legal guardian.

Some services, features, payments, creator tools, subscriptions, artist accounts, monetization features, or developer tools may have additional eligibility requirements.

We may refuse, suspend, or terminate access if we believe you do not meet these requirements.

3. Additional Terms

Some HortSens products, services, subscriptions, hardware, APIs, beta programs, creator tools, artist programs, enterprise services, or special features may have additional terms.

If additional terms apply, they become part of your agreement with us. If there is a conflict between these Terms and product-specific terms, the product-specific terms will control for that product or feature.

4. Your Account

You may need an account to use certain services.

You agree to:

  • Provide accurate and complete information.

  • Keep your account information updated.

  • Keep your login credentials secure.

  • Not share your account without permission.

  • Not impersonate another person or entity.

  • Notify us if you suspect unauthorized access.

You are responsible for activity that occurs through your account, except where caused by our own failure to use reasonable security measures.

We may suspend or terminate your account if we believe your account has been compromised, misused, or used in violation of these Terms.

5. Privacy

Your privacy matters to us.

Our Privacy Policy explains how we collect, use, store, protect, and share information. By using our services, you acknowledge that we process information as described in our Privacy Policy.

If a product has a separate privacy notice, that notice may also apply.

6. Ownership of HortSens Services

HortSens and its licensors own all rights, title, and interest in and to our services, including:

  • Software.

  • Apps.

  • Websites.

  • Interfaces.

  • Visual design.

  • Branding.

  • Logos.

  • Product names.

  • Features.

  • Systems.

  • Databases.

  • Algorithms.

  • AI systems.

  • AR systems.

  • Music discovery systems.

  • Maps.

  • Documentation.

  • APIs.

  • Hardware designs.

  • Content created by HortSens.

  • All related intellectual property.

Except as expressly allowed by these Terms, you may not copy, modify, distribute, sell, lease, reverse engineer, scrape, exploit, or create derivative works from our services.

No rights are granted to you except the limited rights necessary to use our services as allowed by these Terms.

7. License to Use Our Services

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use our services for lawful purposes.

This license does not allow you to:

  • Resell our services.

  • Copy or modify our software.

  • Access non-public systems.

  • Use our services to build competing products without permission.

  • Interfere with our systems.

  • Misuse our content, data, or APIs.

  • Remove legal notices.

  • Use our branding without permission.

We may modify, suspend, limit, or discontinue any part of our services at any time.

8. User Content

“User Content” means anything you upload, submit, create, post, send, store, display, publish, or otherwise provide through our services.

This may include:

  • Music.

  • Audio files.

  • Album art.

  • Photos.

  • Videos.

  • Text.

  • Comments.

  • Profiles.

  • Artist names.

  • Creator pages.

  • AR placements.

  • Map placements.

  • AI prompts.

  • AI outputs.

  • Project files.

  • Feedback.

  • Reviews.

  • Metadata.

  • Messages.

  • Code.

  • Designs.

  • Other materials.

You keep ownership of your User Content, subject to the license you grant us below.

9. License You Grant to HortSens

By submitting User Content, you grant HortSens a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, display, perform, distribute, modify, adapt, format, translate, create derivative works from, and otherwise use your User Content as needed to:

  • Provide our services.

  • Operate our products.

  • Display your content to users.

  • Enable music discovery, playback, collection, placement, sharing, and creator features.

  • Process artist submissions.

  • Promote public content, where applicable.

  • Improve safety, security, and performance.

  • Enforce these Terms.

  • Comply with law.

  • Improve and develop our services, subject to our Privacy Policy and applicable product settings.

For public content, this license continues as long as the content remains available through our services. If you delete content, we will stop displaying it where reasonably possible, although copies may remain in backups, legal records, cached systems, or places where others have already accessed, shared, or interacted with it.

You represent that you have all rights necessary to grant this license.

10. Feedback

If you send us ideas, suggestions, bug reports, designs, improvements, concepts, or other feedback, you allow us to use them without restriction or compensation.

You agree that:

  • Feedback is voluntary.

  • We may use feedback to improve or develop products.

  • We do not owe you payment, ownership, credit, or confidentiality for feedback unless we separately agree in writing.

11. Acceptable Use

You agree not to use our services to:

  • Violate any law or regulation.

  • Violate someone else’s rights.

  • Upload illegal, harmful, abusive, exploitative, or infringing content.

  • Harass, threaten, bully, abuse, defame, or intimidate others.

  • Promote hate, violence, terrorism, extremism, or illegal activity.

  • Upload explicit illegal content.

  • Exploit or endanger minors.

  • Spread malware, viruses, spyware, or harmful code.

  • Interfere with our services.

  • Attempt unauthorized access.

  • Scrape, crawl, or harvest data without permission.

  • Bypass access controls.

  • Abuse APIs.

  • Reverse engineer our software except where legally allowed.

  • Manipulate rankings, plays, collections, payouts, ArtM, virtual items, or analytics.

  • Use bots, fake accounts, automation, or fraud systems without permission.

  • Misrepresent identity, rights, ownership, location, or affiliation.

  • Submit false copyright, payout, tax, or identity information.

  • Use our services in a way that creates physical danger.

  • Use AR, map, hardware, or robotics features recklessly.

  • Use our services to build or train competing systems in violation of these Terms.

  • Use our services in a way that damages HortSens, users, artists, creators, partners, or the public.

We may remove content, restrict features, suspend accounts, terminate accounts, or take legal action if these rules are violated.

12. Content Rules

HortSens may set product-specific content rules. Depending on the product, prohibited content may include:

  • Hate speech.

  • Harassment.

  • Terrorist propaganda.

  • Incitement to violence.

  • Explicit illegal content.

  • Copyright infringement.

  • Fraudulent content.

  • Spam.

  • Malware.

  • Impersonation.

  • Illegal goods or services.

  • Content that creates safety risks.

  • Misleading monetization content.

  • AI-generated music or content where prohibited by product rules.

  • Political, religious, sexual, violent, or controversial content where a product-specific policy restricts it.

We may moderate content using human review, automated systems, or both.

We are not obligated to host, display, distribute, promote, or preserve any content.

13. ARfi Terms

ARfi is a spatial music discovery and augmented reality platform.

By using ARfi, you understand and agree that:

  • ARfi may use camera, motion, sensor, location, and AR data to function.

  • You are responsible for staying aware of your surroundings.

  • You must not use ARfi while driving, cycling, crossing dangerous areas, entering restricted spaces, trespassing, or doing anything unsafe.

  • Virtual objects, map items, music placements, or AR content do not give you permission to enter private property or restricted areas.

  • You must obey local laws, property rules, campus rules, event rules, and public safety instructions.

  • ARfi content may be approximate and may not reflect exact real-world conditions.

  • GPS, AR, sensors, and map features can be inaccurate.

  • HortSens is not responsible for injuries, property damage, trespassing, disputes, or unsafe behavior caused by your misuse of ARfi.

  • We may remove, relocate, restrict, or hide ARfi content for safety, legal, technical, moderation, or business reasons.

You use ARfi at your own risk and must act responsibly in the physical world.

14. Music, Artists, and Creator Submissions

If you submit music, audio, album art, metadata, artist information, or creator content, you represent and warrant that:

  • You own the content or have all required rights.

  • You have permission from all contributors.

  • Your submission does not infringe copyright, trademark, publicity, privacy, moral rights, or other rights.

  • Your submission does not violate any contract.

  • Your submission does not contain prohibited content.

  • Your metadata is accurate.

  • Your payout, tax, and identity information is accurate.

  • You will not manipulate plays, collections, rankings, payouts, or analytics.

We may review, approve, reject, remove, demonetize, restrict, hide, or suspend creator content at our discretion.

We do not guarantee that any submitted content will be accepted, promoted, monetized, displayed, discovered, or paid.

15. Copyright and Intellectual Property Complaints

We respect intellectual property rights.

If you believe content on our services infringes your copyright or other rights, contact us at:

Your notice should include:

  • Your name and contact information.

  • A description of the copyrighted work or protected material.

  • A link or description of the allegedly infringing content.

  • A statement that you believe the use is unauthorized.

  • A statement that the information in your notice is accurate.

  • Your physical or electronic signature.

We may remove or restrict content in response to valid complaints.

We may terminate accounts of repeat infringers.

If your content was removed and you believe it was a mistake, you may contact us with a counter-notice where legally available.

16. AI Features and HS Intelligence

Some HortSens services may include artificial intelligence features.

AI features may generate outputs that are inaccurate, incomplete, offensive, outdated, unsafe, biased, or unsuitable for your purpose.

You agree that:

  • You are responsible for reviewing AI outputs before relying on them.

  • AI outputs are not professional advice unless expressly stated otherwise.

  • AI outputs should not replace legal, medical, financial, engineering, safety, or other expert advice.

  • You must not use AI features to violate law, harm others, generate prohibited content, impersonate others, deceive people, or bypass safety systems.

  • We may monitor, restrict, or block AI use for safety, abuse prevention, security, and compliance.

  • We may use prompts, outputs, feedback, and related data as described in our Privacy Policy and product-specific settings.

You are responsible for your use of AI-generated content.

17. Healthcare, Safety, and Professional Advice

Unless explicitly stated in a product-specific agreement, HortSens services do not provide medical, legal, financial, investment, tax, engineering, safety, or other professional advice.

HS Healthcare or future health-related products may provide wellness, health, or informational features, but those features are not a substitute for professional medical advice unless specifically offered by licensed professionals under separate terms.

Always seek professional advice when appropriate.

18. Hardware, Robotics, and Devices

Future HortSens hardware, robotics, or connected devices may be subject to additional terms.

You agree to:

  • Use devices safely.

  • Follow documentation and warnings.

  • Not tamper with safety systems.

  • Not use devices in dangerous, illegal, or unauthorized ways.

  • Install required updates.

  • Accept that connected devices may require software, connectivity, accounts, permissions, or cloud services.

  • Understand that hardware features may change over time.

We may disable, update, limit, or recall device features for safety, legal, security, or performance reasons.

19. Subscriptions, Purchases, and Payments

Some services may require payment.

By purchasing a subscription, product, service, digital item, creator tool, artist plan, or other paid feature, you agree to:

  • Pay all applicable fees.

  • Provide accurate billing information.

  • Authorize us or our payment providers to charge your payment method.

  • Pay applicable taxes.

  • Follow any product-specific payment terms.

Subscriptions may renew automatically unless canceled before renewal.

Prices, features, billing periods, and plans may change. We will provide notice where required.

Payments may be processed by third-party payment providers. Their terms and privacy policies may also apply.

20. Refunds

Refunds are handled according to the applicable product-specific policy, app store policy, payment provider policy, or legal requirement.

Unless otherwise stated or legally required, payments are non-refundable.

We may refuse refunds in cases of abuse, fraud, policy violations, or misuse.

21. Virtual Items, ArtM, Credits, and Digital Economies

Some HortSens products may include virtual items, credits, ArtM, energy, storage, inventory, digital collectibles, in-app objects, or other digital features.

Unless expressly stated otherwise:

  • Virtual items have no real-world cash value.

  • Virtual items are not money.

  • Virtual items are not bank deposits.

  • Virtual items are not securities.

  • Virtual items are licensed, not sold.

  • We may modify, rebalance, limit, suspend, remove, or discontinue virtual items.

  • We may reverse transactions caused by bugs, abuse, fraud, or system errors.

  • We may restrict transfers, trades, or withdrawals.

  • We do not guarantee scarcity, value, availability, liquidity, or permanence.

You may not sell, trade, exploit, duplicate, manipulate, or transfer virtual items outside authorized HortSens systems.

22. Creator Payouts and Monetization

If you participate in creator, artist, developer, seller, or monetization programs, additional terms may apply.

We may require:

  • Identity verification.

  • Tax information.

  • Payment account information.

  • Rights verification.

  • Fraud checks.

  • Minimum payout thresholds.

  • Compliance review.

We may withhold, delay, reduce, reverse, or cancel payouts if we believe there is:

  • Fraud.

  • Rights infringement.

  • Manipulated engagement.

  • Invalid activity.

  • Tax or legal issues.

  • Violation of these Terms.

  • Violation of product-specific policies.

  • Payment provider issues.

  • A dispute or investigation.

Participation in monetization does not guarantee revenue.

23. Beta Products and Experimental Features

Some HortSens services may be released as alpha, beta, preview, early access, experimental, or test features.

These features may be incomplete, unstable, inaccurate, unavailable, or changed at any time.

We may collect feedback, usage data, performance data, and bug reports to improve these features.

We may discontinue beta features without notice.

Do not rely on beta features for critical uses.

24. App Stores and Third-Party Platforms

If you download our apps through Apple, Google, or another app store, that platform’s terms may also apply.

App stores may handle payments, refunds, subscriptions, updates, permissions, and distribution.

We are not responsible for third-party platform rules, outages, decisions, or policies.

25. Third-Party Services and Links

Our services may link to, integrate with, or depend on third-party services.

These may include:

  • Login providers.

  • Payment processors.

  • Cloud providers.

  • Analytics tools.

  • App stores.

  • Music services.

  • AI infrastructure providers.

  • Map providers.

  • Customer support tools.

  • Social platforms.

  • Creator tools.

  • APIs.

We are not responsible for third-party services that we do not control.

Your use of third-party services may be governed by their own terms and privacy policies.

26. APIs, SDKs, and Developer Tools

If we provide APIs, SDKs, developer tools, or integrations, you agree not to:

  • Abuse or overload our systems.

  • Scrape or extract data without permission.

  • Bypass rate limits.

  • Misrepresent your app or integration.

  • Use developer access to violate privacy or security.

  • Reverse engineer private systems.

  • Use data from our services to build competing products unless authorized.

  • Sell, share, or misuse user data.

  • Ignore deletion or permission requirements.

  • Use APIs for surveillance, spam, fraud, or harm.

We may suspend or revoke developer access at any time.

27. Enterprise, School, and Organization Accounts

If you use our services through an organization, school, company, or enterprise customer, that organization may control certain aspects of your account.

The organization may be able to:

  • Manage access.

  • View usage.

  • Control settings.

  • Request deletion.

  • Manage billing.

  • Enforce organization policies.

  • Access content depending on the agreement.

Your use may also be subject to the organization’s rules.

28. Service Availability

We try to provide reliable services, but we do not guarantee that services will always be available, uninterrupted, secure, fast, or error-free.

Services may be unavailable because of:

  • Maintenance.

  • Updates.

  • Bugs.

  • Third-party failures.

  • Network issues.

  • Security incidents.

  • Legal restrictions.

  • Abuse prevention.

  • Product changes.

  • Force majeure events.

We may modify, suspend, or discontinue services at any time.

29. Updates and Changes to Services

We may update, modify, remove, limit, rename, redesign, or discontinue services, features, content, subscriptions, APIs, virtual items, or products.

We may do this for reasons including:

  • Product improvement.

  • Security.

  • Legal compliance.

  • Technical limitations.

  • Business strategy.

  • Safety.

  • Abuse prevention.

  • User experience.

  • Low usage.

  • Platform requirements.

You understand that features may change over time.

30. Termination

You may stop using our services at any time.

We may suspend or terminate your access if:

  • You violate these Terms.

  • You violate product-specific rules.

  • You create legal risk.

  • You harm users, creators, artists, partners, or HortSens.

  • Your account is inactive for a long period.

  • We discontinue a service.

  • We are required to do so by law.

  • We detect fraud, abuse, or security risk.

After termination, your right to use our services ends immediately.

Certain sections of these Terms will survive termination, including ownership, licenses, payment obligations, disclaimers, limitations of liability, dispute resolution, and any provisions that by nature should survive.

31. Disclaimers

Our services are provided “as is” and “as available.”

To the maximum extent permitted by law, HortSens disclaims all warranties, express or implied, including warranties of:

  • Merchantability.

  • Fitness for a particular purpose.

  • Non-infringement.

  • Accuracy.

  • Reliability.

  • Availability.

  • Security.

  • Compatibility.

  • Error-free operation.

We do not guarantee that:

  • The services will meet your expectations.

  • Content will be accurate or available.

  • AI outputs will be correct.

  • AR or GPS features will be precise.

  • Music or creator content will remain available.

  • Virtual items will retain value.

  • Bugs will be fixed.

  • Services will be uninterrupted.

  • Data will never be lost.

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

32. Limitation of Liability

To the maximum extent permitted by law, HortSens and its affiliates, officers, directors, employees, contractors, agents, licensors, and partners will not be liable for:

  • Indirect damages.

  • Incidental damages.

  • Special damages.

  • Consequential damages.

  • Punitive damages.

  • Lost profits.

  • Lost revenue.

  • Lost data.

  • Loss of goodwill.

  • Business interruption.

  • Personal injury caused by misuse.

  • Property damage caused by misuse.

  • Errors in AI outputs.

  • Inaccurate location or AR data.

  • User content.

  • Third-party services.

  • Unauthorized access beyond our reasonable control.

To the maximum extent permitted by law, our total liability for any claim related to the services will not exceed the greater of:

  1. The amount you paid to HortSens for the service giving rise to the claim during the three months before the claim; or

  2. USD $100.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

33. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless HortSens and its affiliates, officers, directors, employees, contractors, agents, licensors, and partners from claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from:

  • Your use of the services.

  • Your User Content.

  • Your violation of these Terms.

  • Your violation of law.

  • Your violation of someone else’s rights.

  • Your misuse of AR, location, hardware, robotics, AI, or creator tools.

  • Your fraud, abuse, or misconduct.

  • Your monetization, creator, artist, or developer activity.

We may control the defense of any claim requiring indemnification, and you agree to cooperate with us.

34. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles, unless the laws of your country or region require otherwise.

If consumer protection laws in your country require different rights, those rights are not limited by these Terms.

35. Dispute Resolution

Before filing a formal claim, you agree to first contact us at:

We will try to resolve the issue informally.

If we cannot resolve the dispute informally, disputes will be handled in the courts or arbitration forum specified by applicable product-specific terms, unless applicable law gives you the right to bring claims elsewhere.

If no product-specific dispute forum applies, disputes will be brought in the state or federal courts located in Delaware, unless applicable law requires otherwise.

You and HortSens agree to bring claims only on an individual basis and not as part of a class action, collective action, or representative action, to the extent permitted by law.

36. International Users

HortSens may be available in multiple countries.

You are responsible for complying with local laws when using our services.

We may limit or block access in certain countries or regions due to legal, safety, technical, or business reasons.

You may not use our services if doing so would violate export controls, sanctions, or other applicable laws.

37. Changes to These Terms

We may update these Terms from time to time.

If changes are material, we may notify you by email, in-app notice, website notice, or other reasonable method.

The updated Terms will become effective on the date stated in the notice or on the posted effective date.

If you continue using our services after the Terms change, you accept the updated Terms.

If you do not agree to the updated Terms, you must stop using our services.

38. Electronic Communications

By using our services, you agree to receive communications from us electronically, including emails, app messages, account notices, legal notices, and service announcements.

Electronic communications satisfy any legal requirement that communications be in writing, unless applicable law requires another method.

39. Assignment

You may not assign or transfer these Terms without our written permission.

We may assign or transfer these Terms as part of a merger, acquisition, restructuring, sale of assets, corporate transaction, or by operation of law.

40. Severability

If any part of these Terms is found unenforceable, the remaining parts will remain in effect.

The unenforceable part will be interpreted or replaced in a way that best reflects the original purpose, to the extent permitted by law.

41. No Waiver

If we do not enforce a provision of these Terms, that does not mean we waive our right to enforce it later.

42. Entire Agreement

These Terms, together with our Privacy Policy and any applicable product-specific terms, form the entire agreement between you and HortSens regarding your use of our services.
